Soroban Portal Terms of Use
This is an English reference translation. Only the Japanese version is legally binding. If the two versions differ, the Japanese version prevails.
These Terms set out the conditions for using "Soroban Portal" (the "Service") provided by SIC Co., Ltd. ("we", "us" or "our").
Article 1 (The Service and Definitions)
- The Service is the collective name for the features we provide in our management site (the "Portal") to soroban schools, tutoring schools and other educational businesses and organizations (the "Subscriber").
- The features include free features and paid features. The content of paid features ("add-ons") is shown in the Portal and on the introduction page of the Service.
- The Fee Schedule (https://portal.abacus.sicorp.jp/pricing/en/) forms part of these Terms. If these Terms and the Fee Schedule differ, the Fee Schedule prevails on matters concerning fees.
- A person who logs in to the Portal and manages a school is called an "administrator".
Article 2 (Managing Accounts)
- The Subscriber signs in to the Portal with a Google Account or an email address and manages schools and rosters there.
- The Subscriber is responsible for managing the accounts and mailboxes used to sign in, and the IDs and passwords of the accounts it issues.
- In principle, each account may be used only by the user to whom it is assigned. Transferring, lending or improperly sharing an account with a third party is prohibited.
- The Subscriber may re-enroll a withdrawn student at any time (except while the Portal cannot be used under Article 5, Paragraph 2).
- The information, learning records and accounts of students deleted from the roster cannot be restored. The login ID of a deleted student will not be used again.
Article 3 (Fees)
- Fees are as set out in the Fee Schedule.
- Japanese Consumption Tax is not charged to Subscribers located outside Japan. In that case, the fees are still the amounts in the Fee Schedule.
- Costs for services that involve individual production are quoted individually.
Article 4 (Payment and Renewal)
- Fees are paid through the online payment service we designate (Stripe).
- Operations that increase fees can be performed only while there is a subscription under which the Subscriber pays fees (the "monthly subscription"). The Subscriber may start the monthly subscription at any time (except while the Portal cannot be used under Article 5, Paragraph 2) by registering a payment method in the Portal. While the Service is used only within the free range, the monthly subscription is not required.
- Unless the Subscriber cancels it, the monthly subscription renews automatically on each renewal date based on the date of the first payment, and the monthly fee based on the numbers at that time is charged automatically.
- The amount and timing of charges when fees increase during a billing period are as set out in the Fee Schedule.
- Invoices and receipts are sent by email from Stripe and can also be viewed in the Portal.
Article 5 (Unpaid Fees)
- If payment of a fee cannot be confirmed because of a payment error or for any other reason, we will ask the Subscriber to pay.
- If payment cannot be confirmed within 7 days after the payment error, we will suspend the use of add-ons. In addition, each administrator cannot use the Portal, other than the billing and cancellation page, for any school that the administrator manages. The same applies after cancellation while any fee remains unpaid. The Fee Schedule sets out how features used beyond the free range are treated.
- If payment is confirmed, we will promptly resume use.
- If the payment in the preceding paragraph cannot be confirmed by the day before the next renewal date, the monthly subscription will be deemed canceled as of the next renewal date. The obligation to pay the unpaid fees does not end.
Article 6 (Cancellation)
- The Subscriber may request cancellation on the billing and cancellation page of the Portal. The cancellation takes effect on the first renewal date after the request.
- Until the day before the date on which the cancellation takes effect, the Subscriber may use the Service (except while the Portal cannot be used under Article 5, Paragraph 2) and may withdraw the cancellation request.
- After the cancellation takes effect, no monthly fee is charged and add-ons cannot be used. Other features can be used within the free range in the Fee Schedule.
- To use paid features again, the Subscriber starts a monthly subscription again. The first fee in that case is calculated based on the numbers at that time.
Article 7 (Refunds)
As a rule, fees already paid are not refunded, except where required by law or where there is a reason attributable to us. The same applies if the Subscriber reduces numbers, removes features or cancels during a billing period.
Article 8 (Prohibited Conduct)
The Subscriber must not do any of the following.
- Conduct that violates laws or public order and morals
- Conduct that interferes with the operation of the Service, or unauthorized access
- Obtaining the Service or the content provided through the Service by automated means, or using it for machine learning
- Redistributing or selling the content provided through the Service to a third party without our permission. This does not apply where the Subscriber distributes it to students for teaching at its own school.
- Any other conduct we reasonably consider inappropriate
Article 9 (Response to Violations)
If we find use that violates these Terms, we may suspend the account or the use of the Service, cancel the subscription or take other necessary measures.
Article 10 (Rights)
- Rights relating to the Service belong to us or to the relevant right holders.
- Content the Subscriber provides to the Service must be content for which the Subscriber holds the necessary rights. The Subscriber grants us permission to use it to the extent necessary to provide the Service.
- Original instructional videos and other individual services are subject to individually agreed conditions. When the subscription ends, delivery of the school's videos will, in principle, stop.
Article 11 (Changes to and Suspension of the Service)
- We may add, change or end features.
- We may temporarily suspend all or part of the Service for maintenance, failures or other unavoidable reasons.
Article 12 (Disclaimer)
- We are not liable if the Service cannot be used because of a reason not attributable to us.
- We do not guarantee any particular learning outcome, improvement in grades or other particular result from the Service.
- The practice content provided through the Service is not the actual questions of any exam or competition, and does not guarantee any particular learning outcome or pass.
- The Subscriber is responsible for resolving any dispute with a third party concerning content provided by the Subscriber.
Article 13 (Changes to These Terms and the Fee Schedule)
- We may change these Terms and the Fee Schedule in accordance with the provisions of the Civil Code of Japan on standard terms.
- When making a change, we will announce the content of the change and its effective date in the Portal or on the website of the Service before the effective date.
- A change that increases the fees of existing Subscribers will be announced at least 30 days before its effective date. This does not apply to a change that charges only Subscribers who choose it, such as adding a new add-on.
Article 14 (Governing Law and Jurisdiction)
These Terms are governed by the laws of Japan. The Osaka District Court has exclusive jurisdiction by agreement as the court of first instance over any dispute concerning the Service.
Supplementary Provisions
- These Terms take effect on November 2, 2026.
